These Driver & Transport Partner Terms ("Partner Terms") constitute a legally binding agreement between Shiftkart Logistics Private Limited ("Platform," "we," or "us") and the independent transport operators, fleet owners, and drivers ("Service Partner," "you," or "your") who accept service requests facilitated through our platform.
Important: Independent Contractor Status
By agreeing to these terms, you acknowledge that you operate as an independent contractor. Nothing in these Partner Terms creates an employer-employee relationship, partnership, joint venture, or agency relationship between you and Shiftkart Logistics.
1. Eligibility and Onboarding
To receive logistics leads and service requests from Shiftkart Logistics, you must meet the following criteria:
- Possess a valid commercial driving license appropriate for the vehicle class you operate.
- Maintain active and valid vehicle registration (RC), fitness certificates, commercial permits, and comprehensive commercial vehicle insurance.
- Pass our internal background verification and KYC process, which requires submission of Aadhar, PAN, and address proof.
- Ensure your vehicle is in excellent mechanical condition and visually presentable.
2. Service Execution Standards
As a Service Partner, you represent the operational arm of the services we facilitate. You agree to adhere to the highest professional standards:
- Punctuality: Arrive at the designated pickup and drop-off locations within the agreed-upon time windows. If delayed, you must proactively inform the Shiftkart Logistics support team and the customer.
- Professional Conduct: Treat all customers with respect and courtesy. Abusive language, aggressive behavior, or reporting to a job under the influence of alcohol or drugs will result in immediate termination and potential legal action under our Zero Tolerance Policy.
- Safe Handling: Exercise extreme care during loading, securing, transit, and unloading to prevent damage to the customer's goods. You must provide adequate securing materials (ropes, blankets) appropriate for the load.
- Compliance with Laws: Adhere to all local, state, and national traffic laws, weight restrictions, and transport regulations. You are solely responsible for any fines or penalties incurred due to traffic violations.
3. Financial Terms and Payments
3.1. Quotation and Acceptance: For each job, Shiftkart Logistics will communicate the job details and the payout amount. Accepting the job constitutes your agreement to execute the service for that specific payout.
3.2. Payment Processing: Payments owed to you by Shiftkart Logistics will be processed directly to your registered bank account via NEFT/IMPS within the timeframe specified in your individual vendor agreement (typically within 48 to 72 hours of successful job completion and POD submission).
3.3. Cash Collection: If you are instructed to collect a cash balance from the customer upon delivery, you must report the exact amount collected immediately and adjust it against your total payout as directed by our billing team. Unauthorized retention of customer cash is considered theft.
4. Liability for Damage and Loss
You bear the primary physical responsibility for the goods while they are in your custody. If goods are damaged, lost, or stolen due to your negligence, reckless driving, or failure to secure the load properly, Shiftkart Logistics reserves the right to deduct the assessed value of the damages from your pending payouts or hold you liable for the compensation required to make the customer whole.
5. Confidentiality
During the course of your partnership, you will receive sensitive customer information (names, phone numbers, addresses, and inventory details). You agree to use this information solely for the purpose of executing the assigned job. You must not contact the customer for independent solicitation, share their data with third parties, or use their information after the job is completed.
6. Termination of Partnership
Shiftkart Logistics reserves the right to suspend or terminate your access to our platform and cease providing service requests at any time, with or without cause. Immediate termination will occur in cases of:
- Proven theft or fraud.
- Severe customer complaints regarding behavior or safety.
- Failure to maintain valid commercial licenses and vehicle documents.
- Repeated cancellations or "no-shows" after accepting a job.
7. Dispute Resolution
Any disputes arising between you and Shiftkart Logistics regarding payouts, job allocations, or liability shall first be attempted to be resolved through good-faith negotiation with our Vendor Management team. If unresolved, disputes shall be subject to the exclusive jurisdiction of the courts in Delhi, India.
